Servicing by A5 REIT Services LLC

Private REITs outsource the servicing and administration to us for the following functions:

REIT Portal

Provide REIT Portal for transaction documents, shareholder records and tax forms.

Dividend Payments

Pay dividends to each Preferred Shareholder with funds provided by the REIT.

Tax Reporting

Form 1099 Dividends and Distributions: prepare and file IRS form and corresponding state filings, if required, and provide copy to shareholders and to the REIT.
For a REIT that does not have its own website, provide the REIT with a publicly accessible website for posting IRS Form 8937 Report of Organizational Actions Affecting Basis of Securities for reporting return of capital distributions or other events affecting tax basis of the preferred shares.

Shareholder Form W-9 and Backup Withholding

Obtain Internal Revenue Service (“IRS”) Form W-9 Request for Taxpayer Identification Number and Certification from the Preferred Shareholders timely preparation.
Send IRS “B-notices” regarding missing or incorrect name and taxpayer identification number.
Backup withholding: apply any required backup withholding to dividends or distributions, deposit any withheld tax with IRS and file IRS Form 945 – Annual Return of Withheld Federal Income Tax.

Ownership Records and REIT Compliance

Maintain records of ownership by the Preferred Shareholders for compliance with the one hundred shareholder test.
Forward the “shareholder demand letter,” upon request by the REIT, to the Preferred Shareholders regarding ownership statements required by Treas. Reg. §§1.857-8(d) and (e).
Retain records required under Treas. Reg. §1.857-8(a) regarding ownership of the preferred shares.
Coordinate with the REIT in the event of ownership changes including the issuance of new shares.

Communications

Respond to shareholder inquiries regarding tax and administrative matters.
Provide an Investor Portal for shareholders to access records of their ownership, distributions and tax forms.

Special Services

Administer addition, agreed-upon functions for a particular structure.
